1. Scope & Acceptance
These Terms of Use ("Terms") govern your use of the TermSplit desktop application ("Software") provided by Smart-Byte GmbH, Landshuter Str. 29, 85435 Erding, Germany ("we", "us"). By downloading, installing, or using the Software, you agree to these Terms.
2. License Grant
Upon purchasing a valid license, we grant you a non-exclusive, non-transferable, worldwide license to install and use the Software on your personal devices for personal or commercial purposes. The license is perpetual for the major version purchased (e.g., all v1.x releases).
3. Free Trial
The Software includes a free 14-day trial period with full functionality. No credit card or account is required. After the trial period expires, a valid license key is required to continue using the Software.
4. Payment
The license fee is a one-time payment processed through Stripe. All prices are inclusive of applicable taxes where required by law. Payment is due at the time of purchase.
5. Refund Policy
We offer a 30-day money-back guarantee from the date of purchase. If you are not satisfied with the Software, contact us at [email protected] for a full refund, no questions asked.
6. Intellectual Property
The Software and all related materials, including but not limited to source code, documentation, graphics, and trademarks, are and remain the intellectual property of Smart-Byte GmbH. You may not reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software.
7. Restrictions
You may not:
- Share, distribute, sublicense, or resell your license key
- Use the Software for any unlawful purpose
- Remove or alter any proprietary notices in the Software
- Circumvent or disable any license validation mechanisms
8. Privacy & Data
The Software stores all user data locally on your device. We do not collect analytics, telemetry, or usage data. The only network communication is for license validation and update checks. For full details, see our Privacy Policy.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Smart-Byte GmbH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Software.
10. Warranty Disclaimer
The Software is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Termination
We may terminate your license if you breach these Terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via our website. Continued use of the Software after changes constitutes acceptance of the updated Terms.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Erding, Germany, to the extent permitted by law.
